四、谁能办（受理条件）

申请设立登记，应当有投资人（股东、发起人），具备完全民事行为能力，且能独立承担民事责任；自然人股东须出具身份证件，企业法人股东须提交营业执照副本。

Registered capital follows a subscription system: the total subscribed capital by all shareholders shall be paid in full within five years from the date of the company's establishment, as stipulated in the articles of association.
A registered address is a prerequisite for registration; the applied address must match the business premises, and relevant proof of address usage must be provided.
For business scope involving licensed items, the corresponding license or approval documents must first be obtained before applying for registration; for items not requiring a license, registration may be applied for directly.
When applying for a change of registration, the business shall already hold a business license and be in existence, and the change matters must fall within the jurisdiction of the registration authority; for changes involving pre-approval licenses, new approval documents must be obtained first.
When applying for deregistration, a liquidation group shall first be established, a liquidation report prepared, and an announcement published in a newspaper or through the enterprise credit information publicity system, allowing creditors to request repayment; businesses that have not commenced operations or have no creditor-debtor relationships may opt for simplified deregistration.

五、带什么材料

主体资格证明：自然人投资人的居民身份证原件及复印件；企业法人投资人的营业执照副本原件及复印件（加盖登记机关档案查询专用章或企业公章）。
公司名称自主申报结果：已通过名称自主申报的，无需再提交名称预先核准通知书；未自主申报的需提交名称核准通知书。
公司章程：全体股东（或发起人）签署，需载明公司名称、住所、经营范围、注册资本及出资方式与期限、股东姓名或名称与出资额、法定代表人姓名、董事监事经理任职信息等条款。
住所使用相关证明：使用自有房屋的提交产权证明；租赁房屋的提交租赁合同及产权证明；使用住宅作经营场所的还需提交「住改商」相关证明。
法定代表人、董事、监事、经理任职文件：任职决定或股东会决议，以及各任职人员的身份证件复印件。
经营范围涉及许可经营项目的，提交相应许可证或批准文件原件及复印件（如食品经营、烟草专卖、道路运输等）。
委托他人代办的，提供经股东或投资人签字的委托书、委托代理人身份证件及复印件。

六、办理流程
